Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "Customer") and Momentum Partners, MB (registration code: 307087007), operating as AI Receptionist ("we," "our," or "us"), governing your access to and use of the AI Receptionist platform at ai-receptionist-jade-one.vercel.app (the "Service").

By creating an account or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you may not use the Service.

2. Description of Service

AI Receptionist provides an AI-powered virtual phone receptionist for small businesses. The Service includes:

  • Automated phone call answering and handling using AI voice technology
  • Customizable AI receptionist configuration (greeting, FAQ, voice)
  • Call logging, recording, and transcription
  • Appointment booking via calendar integrations (e.g., Google Calendar)
  • Knowledge base management for frequently asked questions
  • Analytics and call summaries

3. Account Registration

To use the Service, you must:

  • Be at least 18 years of age
  • Provide accurate, complete, and current registration information
  • Maintain the security of your account credentials
  • Promptly notify us of any unauthorized use of your account

You are solely responsible for all activity that occurs under your account. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Subscription Plans & Billing

4.1 Plans

The Service is offered through tiered subscription plans. Each plan includes specific allocations for call minutes, knowledge base items, voice options, and features as described on our pricing page.

4.2 Payment

All subscriptions are billed monthly in advance through Stripe. By subscribing, you authorize us to charge your selected payment method on a recurring basis until you cancel.

4.3 Cancellation

You may cancel your subscription at any time through the billing section of your dashboard. Cancellation takes effect at the end of your current billing period. No refunds are provided for partial billing periods.

4.4 Price Changes

We reserve the right to modify pricing with 30 days' advance notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

5. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law, regulation, or third-party rights
  • Make or facilitate robocalls, spam calls, or unsolicited telemarketing
  • Impersonate a human when legally required to disclose AI use
  • Handle calls involving emergency services (911) or medical emergencies
  • Process or store sensitive data such as Social Security numbers, credit card numbers, or health records through the AI receptionist
  • Engage in harassment, fraud, or deceptive practices
  • Attempt to reverse-engineer, exploit, or compromise the Service
  • Exceed your plan's usage limits through automated or abusive means

We reserve the right to suspend or terminate your access if we determine, at our sole discretion, that you have violated these terms.

6. AI-Generated Content

The Service uses artificial intelligence to generate voice responses during phone calls. You acknowledge and agree that:

  • AI-generated responses may occasionally be inaccurate or inappropriate
  • You are responsible for configuring your AI receptionist with accurate business information
  • You should review call logs regularly to ensure quality and accuracy
  • We are not liable for any decisions made based on AI-generated responses
  • You are responsible for compliance with any laws requiring disclosure of AI use in phone calls in your jurisdiction

7. Call Recording & Consent

The Service records and transcribes phone calls handled by your AI receptionist. You are solely responsible for:

  • Complying with all applicable call recording laws in your jurisdiction (including two-party consent states/countries)
  • Informing callers that their call may be recorded and handled by an AI system
  • Configuring your AI receptionist's greeting to include appropriate disclosures

We strongly recommend including a recording disclosure in your AI receptionist's greeting message. Failure to comply with recording consent laws is your sole responsibility.

8. Third-Party Integrations

The Service integrates with third-party platforms including Google Calendar, Vapi, OpenAI, ElevenLabs, Deepgram, and Stripe. By using these integrations, you agree to:

  • Comply with the terms of service of each third-party platform
  • Grant us the necessary permissions to access and use these services on your behalf
  • Accept that third-party service availability is outside our control

You may disconnect third-party integrations at any time through your account settings or the respective platform's settings.

9. Intellectual Property

The Service, including its design, features, code, and documentation, is owned by AI Receptionist and protected by intellectual property laws. You retain ownership of all content you provide (business information, FAQ content, etc.).

By using the Service, you grant us a limited, non-exclusive license to use your content solely for the purpose of providing and improving the Service.

10. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted service. We are not liable for any downtime, service interruptions, or data loss caused by:

  • Scheduled or emergency maintenance
  • Third-party service outages (Vapi, OpenAI, etc.)
  • Force majeure events
  • Issues beyond our reasonable control

11. Limitation of Liability

To the maximum extent permitted by law, AI Receptionist shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Loss of revenue, profits, or business opportunities
  • Loss of data or business interruption
  • Damages resulting from AI-generated responses
  • Missed calls or failed call handling
  • Inaccurate appointment bookings

Our total liability for any claim arising from the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless AI Receptionist from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any applicable law or regulation
  • Content you provide to the Service
  • Your failure to obtain required call recording consents

13. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.

Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days after termination, during which you may request an export. After 30 days, your data will be permanently deleted.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Lithuania. Any disputes arising from these Terms shall be resolved in the courts of Vilnius, Lithuania, unless otherwise required by applicable consumer protection laws in your jurisdiction.

15. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or by posting a notice on the Service. Your continued use of the Service after such notification constitutes acceptance of the revised Terms.
